This Seller Listing Agreement (the “Agreement”) governs your listing of a watch for sale on Grey Market (the “Platform”). By submitting a listing, approving the concierge-drafted listing content, or otherwise offering a watch for sale on the Platform, you (“Seller,” “you”) agree to this Agreement.
This Agreement is entered into in addition to, and is incorporated by reference into, the Grey Market Terms of Service and Privacy Policy. Capitalized terms used but not defined in this Agreement have the meanings given in the Terms of Service. In the event of a conflict between this Agreement and the Terms of Service, this Agreement controls with respect to the specific listing to which it applies.
By listing a watch on the Platform, you represent and warrant, as of the time of listing and as of the time of shipment, that:
Grey Market manually reviews and curates every listing submission. Submission does not guarantee that your listing will go live. Grey Market may decline, request changes to, delay, or remove any listing at its sole discretion, including to maintain marketplace quality, avoid model oversaturation, or address concerns about the information you provided.
A Grey Market concierge will draft listing content based on the information and photographs you submit. You are required to review and approve the final listing content before it goes live. Your approval constitutes your confirmation that the listing content is accurate and complete, and your warranties in Section 2 apply to the approved listing as a whole.
If your listing sells, you must ship the watch to the designated third-party Verifier within two (2) business days of the Platform confirming that escrow has been funded. “Business days” means Monday through Friday, excluding days on which the U.S. Federal Reserve banks are closed (see https://www.federalreserve.gov/aboutthefed/k8.htm). A shipment SLA that falls on a non-business day is extended to the next business day.
All shipments must use the insured, tracked courier method designated or provided by Grey Market. You may not ship using another courier or method without prior written approval from Grey Market. Shipments are fully insured in transit through Grey Market’s program.
You must not ship the watch directly to the Buyer. All shipments go first to the Verifier. Direct-to-Buyer shipments, or shipments that bypass the Verifier, are a severe offense under the Terms of Service and may result in immediate permanent ban.
You are responsible for packaging the watch securely in accordance with Grey Market’s packaging guidelines, including appropriate padding, tamper-evident sealing where provided, and inclusion of all accessories and papers described in your listing.
If you fail to ship within the two-business-day SLA without an approved exception, you will receive a strike under Section 11 of the Terms of Service. Repeated late or failed shipments may result in permanent ban. If you fail to ship at all, the transaction will be canceled, the Buyer will be refunded in full, and you may be subject to additional remedies including collection of any costs Grey Market incurs as a result.
Every sale on the Platform is subject to physical inspection by an independent third-party Verifier selected by Grey Market. The Verifier is engaged by Grey Market as an independent contractor, not as an agent of the Seller, the Buyer, or Grey Market. The Verifier does not have authority to bind the Seller, the Buyer, or Grey Market to any agreement beyond the scope of custody, inspection, and forwarding set out in this Agreement and the Terms of Service.
During the period from the Verifier’s receipt of the watch through the Verifier’s onward shipment or return of the watch, the Verifier holds the watch as a bailee for hire. The Verifier’s obligations are limited to reasonable care in its custody, inspection, and forwarding of the watch, consistent with industry standards for authentication of vintage and neo-vintage watches and with the written agreement between Grey Market and the Verifier. You authorize the Verifier to receive, hold, open, photograph, inspect, test, re-package, forward, or return the watch consistent with this Agreement and the Terms of Service.
You agree to cooperate promptly and in good faith with all reasonable requests from the Verifier and Grey Market, including responding to requests for additional information, photographs, or documentation regarding the watch, its provenance, or its condition.
If the Verifier confirms that the watch is authentic and materially matches the listing, the Verifier forwards the watch to the Buyer, and escrow proceeds to release as described in Section 8.
If the Verifier determines that the watch is counterfeit, materially different from the listing, materially damaged in a manner not disclosed, or otherwise fails inspection:
The Verifier’s determination on authenticity and material condition is final for purposes of transaction completion. You may not re-list, re-offer, or attempt to sell through the Platform any watch that has failed Verifier inspection without Grey Market’s prior written approval.
Grey Market charges a flat $99 listing fee, payable by the Seller at the time the listing is approved and scheduled for auction. Grey Market does not deduct any percentage commission from Seller proceeds — Sellers receive the full hammer price minus only Seller-side shipping. The listing fee is non-refundable once charged, except where the listing is canceled by Grey Market before going live or as required by applicable law.
The Seller bears the cost of shipping from the Seller to the Verifier. Grey Market arranges and pre-pays this shipment and deducts the actual cost from Seller proceeds at payout. The Buyer premium covers the Verifier’s inspection fee; you do not pay the Verifier fee out of pocket or out of proceeds for a successful sale. The Buyer separately pays for shipping from the Verifier to the Buyer.
If a transaction is canceled because the watch fails Verifier inspection, the Buyer is refunded in full, Grey Market absorbs the Verifier fee, and Grey Market pays for return shipment to the Seller. The Seller does not receive payout and does not owe additional fees, but may be subject to strikes or ban as described in Section 6.2 and in the Terms of Service.
Seller proceeds (the full hammer price, minus only Seller-side shipping) are released to your designated payout account after the Verifier confirms that the watch has passed inspection, typically within one (1) business day of Grey Market’s receipt of the Verifier’s pass determination. This release occurs before the Buyer receives the watch and mirrors the release-on-authentication pattern used by other authenticated marketplaces for high-value goods. Payout timing thereafter depends on your payment processor and banking institution.
The 48-hour Buyer Inspection Window described in Section 6.4 of the Terms of Service is limited to shipping-related issues on the final leg of shipment from the Verifier to the Buyer (visible transit damage, tamper-evident mismatch, or confirmed-delivery-not-received claims supported by a police report). Buyer claims within this window do not automatically pause or reverse your payout. Grey Market will resolve valid Inspection-Window claims at its own cost under Section 6.6 of the Terms of Service.
Grey Market reserves the right to claw back released Seller proceeds (in whole or in part), plus reasonable costs Grey Market incurs as a result, only in the following enumerated cases (each a “Clawback Event”):
Except where delay would prejudice Grey Market’s ability to recover or a legal order requires immediate action, Grey Market will provide written notice of a Clawback Event and a reasonable opportunity for you to respond before executing a clawback. Clawback rights under this Section are without prejudice to Grey Market’s other rights and remedies (including strikes and ban under Section 11 of the Terms of Service).
You agree not to solicit, advertise, arrange, or conduct any transaction involving a watch listed on the Platform outside of the Platform, and not to attempt to exchange contact information with a Buyer or prospective Buyer for the purpose of circumventing the Platform. Off-platform solicitation involving a Grey Market listing is a severe offense resulting in immediate permanent ban.
You are solely responsible for any income, sales, use, or other taxes owed on proceeds you receive from sales made through the Platform. Grey Market may issue tax reporting forms (such as Form 1099-K) as required by law. Nothing in this Agreement constitutes tax advice.
Listings must comply with Grey Market’s listing policies in effect at the time of listing. Grey Market may refuse or remove listings involving watches subject to sanctions, export controls, regulatory holds, or that Grey Market determines are otherwise unsuitable for the Platform.
This Agreement applies from the moment you submit or approve a listing and continues through the completion, cancellation, or resolution of the resulting transaction (including any Buyer inspection window, claim, refund, or return shipment). Termination of your account under the Terms of Service does not relieve you of obligations with respect to listings and transactions already in progress.
The Terms of Service and Privacy Policy are incorporated into this Agreement by reference in full, including without limitation the provisions regarding identity verification, identity-based account enforcement, the strike system, dispute resolution (binding AAA arbitration with small claims carveout and class action waiver), limitation of liability, indemnification, and governing law. Nothing in this Agreement limits Grey Market’s rights or remedies under the Terms of Service.
By checking the acceptance box in the listing flow, approving the listing content, or otherwise listing a watch on the Platform, you acknowledge that you have read, understood, and agree to be bound by this Seller Listing Agreement, the Terms of Service, and the Privacy Policy.
