This Watch Purchase Agreement (this "Agreement") is made as of the date of the last signature below (the "Effective Date") between The Grey Market LLC, a California limited liability company at 2128 Narcissus Ct, Venice, California 90291 ("Grey Market," "we," "us," or "our"), and the individual or entity identified as the Seller in the signature block ("Seller," "you," or "your"). Grey Market and Seller are each a "Party" and together the "Parties."
1.1 The Watch. The "Watch" is the timepiece described below, including its movement, case, bracelet or strap, and any box, papers, and accessories listed. The "Agreed Price" and "Insured Value" are as stated below; if no separate Insured Value is stated, the Insured Value equals the Agreed Price.

1.2 Serial number. The Watch's serial number is collected separately through Grey Market's secure channel, is kept confidential, and is never publicly displayed.
2.1 Conditional purchase. Grey Market agrees to buy, and Seller agrees to sell, the Watch for the Agreed Price, conditioned on Grey Market's in-hand inspection confirming that the Watch is authentic and materially matches its description in Section 1.
2.2 Title. Title to the Watch stays with Seller until Grey Market issues payment under Section 6. Until then, Grey Market holds custody of the Watch and bears the risk of loss as provided in Section 4.
2.3 No competing sale. Until Grey Market pays for the Watch or returns it, Seller will not sell, consign, pledge, encumber, or offer the Watch to any third party.
3.1 Prepaid insured label. Grey Market will provide, at its sole cost, a prepaid, insured shipping label (the "Prepaid Label") and the packing instructions in Exhibit A.
3.2 Shipping window. Seller will ship the Watch using only the Prepaid Label and its designated carrier within three (3) Business Days after receiving the label, will hand the package to a staffed carrier counter, and will keep the drop-off and tracking receipt.
3.3 Non-conforming shipment. If Seller ships the Watch by any other label, carrier, or method, the insurance and risk-of-loss protections in Section 4 may not apply, and any loss or damage in transit is Seller's responsibility.
3.4 Missed window. If Seller does not ship within the window in Section 3.2, Grey Market may void the Prepaid Label and terminate this Agreement on written notice, at no cost to either Party, or may issue a replacement label.
4.1 Grey Market bears the risk. From the carrier's first scan of the package until Grey Market issues payment or delivers the Watch back to Seller, Grey Market bears all risk of loss, theft, or damage to the Watch, in transit and in its custody.
4.2 Insurance. Grey Market will insure the Watch for not less than the Insured Value during inbound transit, custody, and any return transit.
4.3 Remedy. If the Watch is lost or stolen while Grey Market bears the risk, Grey Market will pay Seller the Insured Value within ten (10) Business Days. If the Watch is damaged, Grey Market will pay the reasonable, documented diminution in its value. This is Seller's sole remedy for loss or damage, and Grey Market's total liability relating to the Watch will not exceed the Insured Value.
4.4 Exclusions. Grey Market is not responsible for loss or damage to the extent caused by Seller's material misdescription of the Watch, Seller's failure to follow Exhibit A, or a pre-existing condition of the Watch.
5.1 Timing. Grey Market will complete its inspection and notify Seller of the result within three (3) Business Days after the Watch is delivered to Grey Market.
5.2 Pass. If the Watch is authentic and materially matches its description in Section 1, Grey Market will purchase it at the Agreed Price and pay under Section 6.
5.3 Material difference. If the Watch is not authentic, or materially differs from its description (for example, undisclosed aftermarket or replacement parts, refinishing, damage, an incorrect reference, or missing box or papers), Grey Market may either send Seller a revised written offer or decline the purchase and return the Watch under Section 7. On request, Grey Market will provide a summary of the findings supporting its decision.
5.4 Seller's choice. Seller may accept or decline a revised offer within five (5) Business Days after it is sent. If Seller declines or does not respond, Grey Market will return the Watch under Section 7 at no cost to Seller.
5.5 Missed deadline. If Grey Market does not notify Seller of a result within the period in Section 5.1, Grey Market will either pay the Agreed Price under Section 6 or return the Watch under Section 7 within two (2) Business Days after that period ends.
6.1 Timing and method. Grey Market will pay the Agreed Price, or an accepted revised price, by ACH or wire within two (2) Business Days after the inspection passes or Seller accepts a revised offer.
6.2 Payout security. Grey Market pays only to an account in Seller's name. Seller will provide payout details only through Grey Market's secure channel, never in this Agreement or by email, and Grey Market will confirm those details, and any change to them, directly with Seller before paying.
6.3 Screening. Before paying, Grey Market may request reasonable proof of Seller's identity and ownership of the Watch for fraud, theft, sanctions, and anti-money-laundering screening. If Seller does not respond within five (5) Business Days, or the screening indicates the Watch may be stolen, counterfeit, or subject to a superior claim, Grey Market may decline the purchase and return the Watch under Section 7.
6.4 Title; taxes. Title to the Watch passes to Grey Market when it issues payment. Seller is responsible for any taxes on the sale proceeds, and Grey Market may issue tax forms where required by law.
7.1 Return at Grey Market's cost, insured. If Grey Market does not purchase the Watch, it will ship the Watch to the Seller address in the signature block within two (2) Business Days after the event triggering the return, at Grey Market's cost, insured for not less than the Insured Value, in substantially the condition received. Grey Market bears the risk of loss until the Watch is delivered to Seller.
8.1 Representations. Seller represents and warrants that: (a) Seller is the sole owner of the Watch or is fully authorized to sell it; (b) the Watch is free of liens, claims, and encumbrances; (c) to Seller's knowledge, the Watch is authentic and is not stolen or the subject of any lost-or-stolen report or law-enforcement hold; (d) the description, photographs, and disclosures Seller provided are accurate, including any known service history, replacement or aftermarket parts, damage, or modifications; (e) Seller is at least 18 years of age; and (f) the sale does not violate any law or the rights of any third party.
8.2 Indemnity. Seller will indemnify and hold harmless Grey Market from third-party claims, losses, and reasonable attorneys' fees arising from a claim that the Watch is stolen, counterfeit, or encumbered, to the extent the claim results from a breach of Section 8.1.
9.1 Grey Market will: (a) insure the Watch as provided in Section 4; (b) handle the Watch with professional care and use it solely for inspection and this transaction; (c) keep Seller's personal information and the Watch's serial number confidential and never publicly display the serial number; and (d) meet the deadlines set out in this Agreement.
10.1 Confidentiality. Each Party will keep this Agreement and the other Party's non-public information confidential, except for disclosures required by law or made to insurers, advisors, or service providers under confidentiality obligations.
10.2 Limitation of liability. Except for Grey Market's obligations under Section 4, a breach of Section 10.1, and Seller's obligations under Section 8, neither Party is liable to the other for indirect, incidental, special, or consequential damages.
10.3 Governing law; disputes. This Agreement is governed by California law. Disputes will be resolved exclusively in the state and federal courts located in Los Angeles County, California, and each Party consents to their jurisdiction. Each Party waives trial by jury; if that waiver is held unenforceable, the dispute will be decided by general reference under California Code of Civil Procedure sections 638 through 645.1, with all rights of appeal reserved. The prevailing Party may recover reasonable attorneys' fees and costs.
10.4 Entire agreement; amendments; assignment. This Agreement, with Exhibit A, is the entire agreement of the Parties on its subject matter. Amendments must be in writing and signed by both Parties. Seller may not assign this Agreement without Grey Market's prior written consent.
10.5 Notices; electronic signatures. Notices may be given by email to the addresses in the signature block (for Grey Market, support@grymrkt.co) and are effective on the Business Day sent if sent before 5:00 p.m. Pacific Time. "Business Day" means Monday through Friday, excluding U.S. federal holidays. This Agreement may be executed electronically, including through Google Workspace eSignature or a comparable service, and electronic signatures and counterparts are binding to the same extent as originals.
10.6 Survival. Sections 4.3, 6.4, 8, and 10 survive payment, return of the Watch, and any termination of this Agreement.
Seller understands that the Watch must be shipped only with Grey Market's Prepaid Label, packed and double-boxed as described in Exhibit A, and handed to a staffed carrier counter. Grey Market insures the Watch from the carrier's first scan, but a loss caused by Seller using a different label or carrier, or by not following the packing instructions, is Seller's responsibility (Sections 3.3 and 4.4).
IN WITNESS WHEREOF, the Parties have executed this Agreement as of the Effective Date. Grey Market signs first, and the Agreement becomes effective upon Seller's countersignature.
Prepaid, insured label. Grey Market's Prepaid Label is provided with this Agreement (attached to the signing envelope or sent separately by email). Use only this label and the designated carrier; do not create your own label.
Insurance. This shipment is insured by Grey Market for the Insured Value stated in Section 1 from the carrier's first scan, as provided in Section 4. You do not need to purchase separate insurance.
